Welcome to Nour. These Terms of Service describe the terms and conditions that apply when you visit, access, or use our website, online store, products, services, content, tools, features, and related services.

The terms “Nour,” “we,” “us,” and “our” refer to Nour, operated by Actually Healthy Inc.

Our store is powered by Shopify, which enables us to provide our online store and related services to you.

By visiting, interacting with, or using our website or services, you agree to these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or our Privacy Policy, you should not use our website or services.

These Terms include important information about your legal rights, including warranty disclaimers, limitations of liability, and rules that apply to orders, pre-order reservations, purchase options, shipping, returns, and refunds.

Section 1 - Access and Account

By using our website or services, you represent that you are at least the age of majority in your province, state, or place of residence, or that you have given us consent to allow your minor dependents to use our website or services.

You may be asked to provide certain information, including your name, email address, billing information, payment information, and shipping information. You represent that all information you provide is accurate, current, and complete.

You are responsible for maintaining the security of your account credentials and for all activity under your account. You may not transfer, sell, assign, or license your account to another person.

Section 2 - Our Products

We make reasonable efforts to describe and display our products accurately. However, product images, colours, packaging, appearance, and presentation may vary from how they appear on your device or screen.

Product descriptions, ingredients, availability, prices, packaging, and other product information may change at any time without notice, subject to applicable law.

Nour may limit the quantities of products offered or sold to any person, household, geographic region, or jurisdiction. We may discontinue any product at any time.

Because Nour sells food products, you are responsible for reviewing all ingredient, allergen, dietary, and product information before consuming a product. If you have allergies, sensitivities, dietary restrictions, or medical concerns, you should review the product label and consult an appropriate professional before consuming the product.

Unless expressly stated, our products are not intended to diagnose, treat, cure, or prevent any disease or medical condition.

Section 3 - Orders and Pre-order Reservations

When you place an order, you are making an offer to purchase. Nour reserves the right to accept or decline your order for any reason at its discretion. Your order is not accepted until Nour confirms acceptance.

For standard orders, we must receive and process your payment before your order is accepted, unless otherwise clearly stated for a pre-order reservation or other purchase option.

Certain products may be offered as pre-order reservations before they are ready to ship.

Where clearly stated at checkout, no payment is collected at the time of reservation. You may be asked to provide payment details to reserve your order, but your card is not charged at the time of reservation.

Your card will only be charged when production is confirmed. For pre-order reservations, the “Charge Date” means the date payment is collected because production has been confirmed.

You may cancel your pre-order reservation anytime before payment is collected.

After payment is collected, voluntary cancellations may not be available because production has been confirmed and Nour may begin committing funds to ingredients, packaging, production planning, and inventory allocation.

Once payment is collected, estimated shipping is approximately 4 months after the Charge Date, unless a different estimate is shown at checkout or in your confirmation email.

If Nour cannot fulfill your order, we will cancel the order and refund any amount paid.

If we do not expect to ship within the estimated shipping window, we will contact you with an updated estimate and available options, including cancellation or refund options where required by law.

Your purchases are subject to our Refund Policy, Shipping Policy, and, where applicable, our Purchase Options Cancellation Policy.

You represent that your purchases are for personal or household use and not for commercial resale or export.

Section 4 - Prices and Billing

Prices, discounts, promotions, and availability are subject to change without notice, subject to applicable law.

The price charged for a product will be the price shown at the time the order or pre-order reservation is placed, unless otherwise clearly stated.

Unless otherwise stated, prices do not include taxes, shipping, handling, customs, duties, or import charges.

You agree to provide current, complete, and accurate purchase, payment, and account information for all purchases and pre-order reservations.

You agree to promptly update your account and payment information, including your email address, billing information, credit card information, and expiration dates, so that we can complete transactions and contact you as needed.

You represent that you are authorized to use the payment method provided and that any charges incurred by you will be honoured by your payment provider.

Section 5 - Shipping and Delivery

Shipping and delivery timelines are estimates only and are not guaranteed, unless expressly stated otherwise at checkout, in your order confirmation, or required by applicable law.

For pre-order reservations, estimated shipping is approximately 4 months after payment is collected, unless a different estimate is shown at checkout or in your confirmation email.

Production, packaging, supply chain issues, carrier delays, customs processing, weather, and events outside our control may affect delivery timing.

If we do not expect to ship within the estimated shipping window, we will contact you with an updated estimate and available options, including cancellation or refund options where required by law.

Once we transfer products to the carrier, title and risk of loss may pass to you to the extent permitted by applicable law.

Section 6 - Returns, Refunds, and Cancellations

Returns, refunds, exchanges, cancellations, damaged items, incorrect orders, and non-returnable items are governed by our Refund Policy.

Purchase option cancellations, including pre-order reservation cancellations, are governed by our Purchase Options Cancellation Policy, where applicable.

Nothing in these Terms limits any rights you may have under applicable consumer protection laws.

Section 7 - Intellectual Property

Our website, services, content, designs, text, images, graphics, logos, product names, videos, audio, and other materials are owned by Nour, its affiliates, licensors, or service providers and are protected by intellectual property laws.

You may use our website and services for personal, non-commercial use only.

You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, copy, sell, resell, or exploit any part of our website, services, or content without our prior written consent.

Nour’s names, logos, product names, designs, and slogans are trademarks or brand assets of Nour or its affiliates. You may not use them without our prior written permission.

Shopify’s names, logos, product names, designs, and slogans are trademarks of Shopify. Other names, logos, product names, designs, and slogans are trademarks of their respective owners.

Section 8 - Optional Tools and Third-party Services

We may provide access to tools, apps, services, features, or integrations offered by third parties. We do not control these third-party tools and provide access to them “as is” and “as available.”

Your use of third-party tools is at your own risk and may be subject to separate third-party terms and policies.

We are not responsible for any harm, loss, damage, or issue arising from your use of third-party tools or services, except to the extent required by applicable law.

Our website or services may contain links to third-party websites, materials, content, or services.

We are not responsible for reviewing, evaluating, or guaranteeing the accuracy of third-party websites, materials, content, products, or services.

If you access third-party websites or services, you do so at your own risk. You should review the third party’s terms and policies before engaging in any transaction.

Section 10 - Relationship with Shopify

Nour’s online store is powered by Shopify. However, any sales, purchases, pre-order reservations, customer service issues, product issues, refunds, cancellations, or disputes related to Nour products are between you and Nour.

By using our website or services, you acknowledge that Shopify is not responsible for any aspect of sales or transactions between you and Nour, including any injury, damage, loss, refund, cancellation, or product issue arising from products purchased from Nour.

To the extent permitted by applicable law, you release Shopify and its affiliates from claims, damages, and liabilities arising from or related to your purchases, pre-order reservations, or transactions with Nour.

Section 11 - Privacy

Our collection, use, disclosure, and protection of personal information is described in our Privacy Policy.

Because our store is powered by Shopify, Shopify may collect and process certain personal information in connection with your access to and use of our website, checkout, and services. Shopify’s privacy information can be viewed at Shopify’s Privacy Policy.

By using our website or services, you acknowledge that you have read our Privacy Policy.

Section 12 - Feedback, Reviews, and Submissions

If you submit, upload, post, email, or otherwise provide ideas, suggestions, reviews, feedback, proposals, photos, videos, testimonials, or other content to Nour, you grant Nour a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable right to use, reproduce, modify, publish, translate, distribute, display, and create derivative works from that content for any lawful purpose, including marketing and commercial purposes.

You represent that you own or have the necessary rights to provide such content and that your content does not violate any law, third-party right, privacy right, intellectual property right, or these Terms.

We may, but are not required to, monitor, edit, or remove content that we determine is unlawful, offensive, misleading, defamatory, obscene, harmful, or otherwise objectionable.

Section 13 - Errors, Inaccuracies, and Omissions

Occasionally, information on our website or services may contain typographical errors, inaccuracies, or omissions, including information related to product descriptions, ingredients, pricing, promotions, offers, shipping charges, transit times, availability, or estimated shipping timelines.

We reserve the right to correct errors, inaccuracies, or omissions and to change or update information or cancel orders where information is inaccurate, subject to applicable law.

If we cancel an order after payment has been collected, we will refund any amount paid for the cancelled order.

Section 14 - Prohibited Uses

You may use our website and services only for lawful purposes.

You may not use our website or services:

• for any unlawful, fraudulent, harmful, abusive, or malicious purpose;
• to violate any applicable law, regulation, rule, or ordinance;
• to infringe or violate our intellectual property rights or the rights of others;
• to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate against any person;
• to submit false or misleading information;
• to upload or transmit viruses, malware, or malicious code;
• to spam, phish, pharm, pretext, crawl, scrape, or collect information without authorization;
• to interfere with or circumvent the security features of our website or services;
• to use bots, scrapers, crawlers, automated tools, or agentic AI systems in a way that harms, disrupts, overloads, or abuses our website or services;
• to purchase products for unauthorized resale, export, or commercial purposes.

We reserve the right to suspend, disable, or terminate access to our website or services if we determine that you have violated these Terms.

Section 15 - Agents and Automated Access

This section applies if you use, allow, enable, or cause any software, service, bot, crawler, scraper, automated system, artificial intelligence system, agentic AI system, or other automated tool to access, use, or interact with our website or services.

Automated tools may not access, use, or interact with our website or services in a way that violates these Terms, bypasses security measures, misrepresents identity, places fraudulent or abusive orders, overloads our systems, scrapes protected content, or interferes with normal website operations.

We may block, limit, suspend, or restrict automated access to our website or services at any time.

We may terminate, suspend, or restrict your access to our website or services at any time if we determine that you have violated these Terms or applicable law.

You remain responsible for all amounts due up to and including the date of termination.

The sections of these Terms that by their nature should survive termination will continue to apply, including sections related to intellectual property, feedback, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.

Nothing in these Terms limits, excludes, or modifies any consumer rights, warranties, remedies, or protections that cannot be limited, excluded, or modified under applicable law.

Our website, services, content, and products are provided to the fullest extent permitted by law on an “as is” and “as available” basis, except as expressly stated by Nour or required by applicable law.

To the fullest extent permitted by law, Nour disclaims all warranties, representations, and conditions of any kind, whether express, implied, statutory, or otherwise, including implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.

We do not guarantee that our website or services will be uninterrupted, timely, secure, error-free, accurate, complete, or free from viruses or harmful components.

Some jurisdictions do not allow the exclusion or limitation of certain warranties, so some of the above exclusions may not apply to you.

Section 18 - Limitation of Liability

To the extent permitted by applicable law, Nour and its directors, officers, employees, affiliates, agents, contractors, service providers, licensors, and partners will not be liable for any indirect, incidental, punitive, special, consequential, or similar damages, including lost profits, lost revenue, lost savings, loss of data, replacement costs, or similar damages arising from or related to your use of our website, services, or products.

Nothing in these Terms limits liability that cannot be limited under applicable law.

You agree to indemnify, defend, and hold harmless Nour, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities, claims, expenses, or fees, including reasonable legal fees, arising out of or related to:

• your violation of applicable law;
• your violation of the rights of a third party;
• your misuse of our website, services, or products;
• your unauthorized resale, export, or commercial use of our products.

Section 20 - Severability

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision will be enforceable to the fullest extent permitted by law, and the unenforceable portion will be deemed severed from these Terms. This will not affect the validity or enforceability of the remaining provisions.

You may not transfer, assign, or delegate these Terms or any of your rights or obligations under these Terms without our prior written consent.

Section 23 - Governing Law

These Terms of Service and any separate agreements under which we provide services or products to you are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You and Nour agree to submit to the courts located in Ontario, Canada, except where applicable law requires otherwise.

Section 24 - Changes to These Terms

You can review the most current version of these Terms of Service on this page at any time.

We reserve the right to update, change, or replace any part of these Terms by posting updates to our website.

If changes are material, we will provide notice where required by applicable law.

Your continued use of or access to our website or services after changes are posted constitutes acceptance of those changes, subject to applicable law.
